1. Introduction and Acceptance

Welcome to DolutechAI. These Terms of Use ("Terms") govern your access to and use of the website dolutech.ai and all related services, products, and applications provided by Dolutech OÜ ("DolutechAI", "we", "us", or "our"), a company registered in Estonia, European Union, with Registry Code 17414318.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Definitions

• "Services" means all products, software, applications, and services offered by DolutechAI, including but not limited to SOC AI Agent, Clavio.io, and Fintrix.APP.
• "User" means any individual or entity that accesses or uses our Services.
• "Content" means any text, graphics, images, software, audio, video, or other materials.
• "Personal Data" has the meaning given in the General Data Protection Regulation (GDPR).

3. Eligibility

To use our Services, you must:

• Be at least 18 years old or the age of legal majority in your jurisdiction
• Have the legal capacity to enter into a binding contract
• Not be prohibited from using the Services under applicable laws
• If acting on behalf of an organization, have the authority to bind that organization to these Terms

4. Account Registration

4.1 Account Creation

Some Services may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or if we reasonably believe your actions may harm DolutechAI, other users, or third parties.

5. Use of Services

5.1 Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree to use our Services for your internal business purposes only, unless otherwise agreed in writing.

5.2 Prohibited Conduct

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Services for any illegal, harmful, or fraudulent purpose
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the integrity or performance of the Services
• Transmit viruses, malware, or other malicious code
• Reverse engineer, decompile, or disassemble any part of the Services
• Copy, modify, or create derivative works based on the Services
• Use automated systems to access the Services without authorization
• Resell, sublicense, or redistribute the Services without permission
• Remove or alter any proprietary notices or labels

6. Intellectual Property

6.1 Ownership

All intellectual property rights in the Services, including but not limited to software, designs, text, graphics, logos, and trademarks, are owned by or licensed to DolutechAI. These Terms do not grant you any rights to our intellectual property except the limited license to use the Services as permitted.

6.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

6.3 User Content

You retain ownership of any content you submit to our Services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and process such content solely for providing the Services to you.

7. Payment Terms

7.1 Fees

Certain Services may require payment. All fees are stated in the applicable pricing documentation and are exclusive of taxes unless otherwise stated.

7.2 Payment Processing

Payments are processed by secure third-party payment processors. We do not store complete payment card information on our servers.

7.3 Refunds

Refund policies are specified in the individual service agreements. Unless otherwise stated, subscriptions are non-refundable after the first 14 days of service.

8. Data Protection and Privacy

8.1 GDPR Compliance

We process personal data in accordance with the General Data Protection Regulation (GDPR) and Estonian data protection laws. Our data practices are detailed in our Privacy Policy.

8.2 Data Processing

When you use our Services, we may process your data as a data processor on your behalf. In such cases, a Data Processing Agreement (DPA) may apply.

8.3 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission or storage is 100% secure.

9. Service Availability

9.1 Availability

We strive to provide reliable Services but do not guarantee uninterrupted availability. Services may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. We will provide reasonable notice of significant changes when possible.

10. Disclaimers

10.1 "As Is" Basis

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 No Guarantee

We do not warrant that:

• The Services will meet all your requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from the Services will be accurate or reliable
• Any errors in the Services will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• DolutechAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We shall not be liable for any loss of data, profits, revenue, or business

These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

12. Indemnification

You agree to indemnify, defend, and hold harmless DolutechAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising out of:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data submitted to the Services

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Estonia. However, we may seek injunctive relief in any jurisdiction to protect our intellectual property rights.

14. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute within 30 days.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last Updated" date
• Sending notice to registered users for significant changes

Your continued use of the Services after changes constitutes acceptance of the modified Terms.

16. General Provisions

16.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16.2 Waiver

Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.

16.3 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.

16.4 Entire Agreement

These Terms, along with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and DolutechAI regarding the Services.
